Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SAA ("we," "us," or "our") governing your access to and use of the Site Companion Side Kick mobile application ("SCSK" or the "App") and any related services, websites, or platforms.

By downloading, installing, accessing, or using SCSK, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using SCSK on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use SCSK.

2. Service Description

SCSK is a construction site management application designed for construction professionals including foremen, supervisors, project managers, and tradespeople. The App provides tools for:

• Project and job tracking and management
• Photo documentation and site evidence capture
• Contact and trade management
• Calendar and scheduling functionality
• Construction calculators and trade-specific tools
• PDF report generation
• Offline data storage with optional cloud synchronisation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

3. Public Release

SCSK is offered as a public release product. By using SCSK, you acknowledge and agree to the following:

3.1 Active Development

• The App is in active development and may contain bugs, errors, or features that continue to evolve
• Features may change, be modified, or removed without notice
• The App may not perform as expected in all circumstances
• Data loss may occur despite our best efforts to prevent it

3.2 Feedback

We welcome and encourage feedback from users. By providing feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback into SCSK without any obligation to you.

3.3 Pricing

Some features may be free, paid, or subscription-based. We reserve the right to introduce, modify, or retire paid features or subscription plans, with notice where required.

4. User Accounts

4.1 Account Creation

To access certain features of SCSK, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

4.2 Account Eligibility

You must be at least 18 years of age to create an account and use SCSK. By creating an account, you represent and warrant that you meet this age requirement.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason, including but not limited to violation of these Terms. You may also delete your account at any time through the App settings or by contacting us.

5. User Conduct

You agree to use SCSK only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App for any illegal or unauthorised purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorised access to the App, other accounts, or our systems
• Interfere with or disrupt the App's functionality or infrastructure
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated systems or software to extract data from the App
• Transmit viruses, malware, or other harmful code
• Impersonate any person or entity
• Use the App to harass, abuse, or harm others
• Share your account credentials with third parties

6. User Content

6.1 Ownership

You retain ownership of all content you create, upload, or store using SCSK, including but not limited to project data, photos, notes, and documents ("User Content"). We do not claim ownership of your User Content.

6.2 Licence Grant

By using SCSK, you grant us a limited, non-exclusive licence to access, store, process, and transmit your User Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your User Content or account.

6.3 Responsibility

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with all applicable laws

6.4 Backup

While we implement measures to protect your data, you are responsible for maintaining your own backups of important User Content. We are not liable for any loss of User Content.

7. Intellectual Property

7.1 Our Rights

SCSK and all associated intellectual property rights are owned by SAA. This includes but is not limited to:

• The App's source code, design, and architecture
• Logos, trademarks, and brand elements
• Documentation and written content
• User interface designs and graphics

7.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use SCSK for your personal or internal business purposes, subject to these Terms. This licence does not include the right to:

• Modify, adapt, or create derivative works
• Distribute, licence, or sell the App
• Remove any proprietary notices or labels
• Use our trademarks without written permission

8. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the App
• Warranties that defects will be corrected

SCSK is a tool to assist with construction management. It is not a substitute for professional judgement, and you should not rely solely on the App for critical decisions affecting safety, compliance, or legal matters.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, data, business opportunities, or goodwill
• Our total liability for any claims arising from these Terms or your use of SCSK shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless SAA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of SCSK
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11. Termination

11.1 By You

You may stop using SCSK at any time. You may also request deletion of your account and associated data by contacting us or using the in-app deletion feature.

11.2 By Us

We may suspend or terminate your access to SCSK at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we determine is harmful to other users or our business
• Extended periods of inactivity
• Discontinuation of the Service

11.3 Effect of Termination

Upon termination, your right to use SCSK will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Effective Date" at the top of this page
• We will notify you through the App, by email, or other reasonable means
• Material changes will be communicated at least 14 days before taking effect

Your continued use of SCSK after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the App.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of SCSK shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. You agree to submit to the personal jurisdiction of such courts.

13.1 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us and attempt to resolve any dispute informally. We will endeavour to resolve complaints and disputes within 30 days.
